Terms and Conditions

These Terms and Conditions (“Agreement”) govern the website development services (“Services”) provided by RN WEBNET (“we,” “our,” “us”) to you, the client (“Client,” “you,” or “your”). By signing a contract, engaging in a project, or using our Services, you agree to these Terms and Conditions.

1. Agreement Overview

This Agreement outlines the terms under which [Company Name] provides website development services to the Client. By using our Services, you acknowledge and agree to abide by the terms outlined in this Agreement.

2. Services Provided

We will provide website or software development services, which may include but are not limited to:

  • Website design and development
  • User interface (UI) and user experience (UX) design
  • Content management system (CMS) setup and integration
  • E-commerce setup and customization
  • Website maintenance and support
  • Search engine optimization (SEO) and online marketing

Specific services and deliverables will be detailed in a project proposal or contract.

3. Project Scope

  • Project Initiation: A formal proposal or contract outlining the scope, timeline, and costs will be agreed upon before project commencement.
  • Scope Changes: Any changes to the project scope after the contract is signed will require a written change order and may result in additional fees or timeline adjustments.

4. Client Responsibilities

The Client agrees to:

  • Provide timely feedback and approvals on deliverables and drafts.
  • Supply all content, images, and materials necessary for the website’s development, unless otherwise specified.
  • Ensure that all provided content and materials comply with applicable copyright laws and intellectual property rights.
  • Cooperate with [Company Name] to ensure the project remains on track, including availability for meetings, reviews, and approvals.

5. Payment Terms

  • Fees: The total fees for the website development project will be outlined in the project proposal or contract.
  • Payment Schedule: A deposit is due before work begins, with remaining payments to be made upon completion of specific milestones or at the project’s completion, as detailed in the contract.
  • Late Payments: Any late payments will incur a late fee as specified in the contract. If payments are overdue by more than [X] days, we reserve the right to suspend the project or terminate the agreement.
  • Hosting: By defaults we host all websites and software and renew them yearly. If any client wants to host on their server in the beginning, the charge may defer. Or hosting transfer or any migration will charge extra.  
  • Domain: By defaults we buy the domains and renew them yearly. If any client wants to transfer ownership, it will charge extra.  

6. Intellectual Property Rights

  • Client Content: All content provided by the Client remains the property of the Client.
  • Website Deliverables: Upon full payment, the Client will own the rights to the completed website, including code, design, and other deliverables, unless otherwise agreed upon. Moreover client needs to mention code ownership in the beginning.
  • Licensing: RN WEBNET may retain rights to any reusable code, templates, or proprietary tools developed and used during the project.
  • Third-Party Materials: Any third-party software, stock images, or plugins used in the development may be subject to separate licensing agreements, and the Client is responsible for complying with those terms.

7. Confidentiality

Both parties agree to keep any confidential information shared during the course of the project private and not disclose it to any third party without written consent, except as required by law.

8. Timeline and Delivery

  • We will provide the Client with an estimated project timeline at the start of the project.
  • The Client understands that delays in providing content, approvals, or feedback may impact the project timeline.
  • RNWEBNET will make reasonable efforts to meet the project deadlines but cannot guarantee completion by any specific date unless otherwise agreed upon in writing.

9. Website Hosting and Maintenance

  • Hosting: The Client is responsible for providing hosting services unless otherwise agreed upon. By default RN WEBNET hosts and renew yearly. 
  • Maintenance: If ongoing website maintenance is agreed upon, RN WEBNET will provide regular updates, security patches, and troubleshooting as specified in the contract.

10. Warranties and Disclaimers

  • Website Functionality: We provide the website “as is” and do not guarantee that the website will be free from bugs or errors.
  • Third-Party Integrations: We are not responsible for third-party software or services integrated into the website (e.g., payment gateways, plugins, etc.).
  • Warranty: We warrant that the website will function according to the specifications outlined in the proposal or contract for a period of 3 months after delivery, provided that no modifications have been made to the website by unauthorized parties.

11. Limitation of Liability

  • In no event will RN WEBNET be liable for any indirect, special, or consequential damages, or loss of profits arising from the use or inability to use the website.
  • The Client agrees to hold RN WEBNET harmless for any claims, losses, or damages related to the website’s use.

12. Termination

  • Either party may terminate the agreement with written notice if the other party breaches any material term of the contract.
  • Upon termination, the Client will pay for any completed work, and RN WEBNET will deliver any work completed to date.
  • If the Client terminates the agreement before completion, they will be responsible for paying for work done up to that point.

13. Dispute Resolution

Any disputes arising out of or in connection with this Agreement shall be resolved through mediation or, if necessary, binding arbitration in accordance with the laws of [State/Country].

14. Force Majeure

Neither party will be liable for failure to perform any obligation due to events beyond their control, including but not limited to natural disasters, acts of war, or other unforeseen circumstances.

15. Amendments

RN WEBNET reserves the right to amend these Terms and Conditions at any time. Any modifications will be communicated to the Client, and continued use of the Services will constitute acceptance of the revised terms.

16. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Uttar Pradesh State/India], without regard to its conflict of law principles.
